Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On July 18, 2005, Isaac W. Jameson began serving as the Director of Operations of Paulson Investment Company, Inc., a subsidiary of Paulson Capital Corp. Mr. Jameson replaces Colin Mackenzie, who resigned from that post on May 27, 2005. Mr. Jameson, 28, has worked in the Compliance Department of Paulson Investment Company, Inc. since March 2000, most recently serving as Assistant Vice-President of Compliance since June 2003.
