Item 2.02 Results of Operations and Financial Condition.

On March 21, 2005, VICORP Restaurants, Inc. (the “Registrant”) issued a press release regarding a delay in the filing of its Form 10-Q for its first quarter ended January 27, 2005. A copy of this press release is furnished with this Form 8-K as Exhibit 99.1.
