Item 5.02. | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
On December 11, 2023, the Board of Directors (the “Board”) of Tenet Healthcare Corporation (the “Company”) appointed Vineeta Agarwala to the Board, effective immediately. The size of the Board increased from 12 to 13 directors at such time. Dr. Agarwala’s initial term will expire concurrently with the terms of the other members of the Board at the Company’s 2024 Annual Meeting of Shareholders. The Board has appointed Dr. Agarwala to serve on its Quality, Compliance & Ethics Committee and Human Resources Committee.
Dr. Agarwala will participate in the non-employee director compensation programs described under “Director Compensation” in the Company’s proxy statement filed with the Securities and Exchange Commission on April 14, 2023. There are no arrangements or understandings pursuant to which Dr. Agarwala was appointed to the Board, and Dr. Agarwala is not a party to any transaction with the Company reportable under Item 404(a) of Regulation S-K.
