Acquisition or Disposition of Assets On May 24, 1995, Registrant sold its interest in the joint venture which owned the Cleveland Marriott Hotel to its joint venture partner. Registrant received net proceeds of $6,000,000 from the sale, which resulted in a gain of $8,500,000. Registrant held a 65% interest in the joint venture. Registrant's only remaining asset is a note receivable in the amount of $4,250,000 which was issued to Registrant as partial payment of the purchase price of the Amfac Hotel. The Note is due February 1997 and is secured by the Amfac Hotel. Item 7.
