At a Special Meeting of Shareholders on November 29, 2006, the Company’s shareholders approved amendments to the Company’s 1982 Stock Option Plan (the “Plan”) to reserve an additional 5,000,000 shares for issuance under the Plan and to provide for the grant of restricted stock, restricted stock units and performance-based awards under the Plan. Additional information regarding the Plan is contained in the Company’s Proxy Statement for the Special Meeting of Shareholders filed with the Securities and Exchange Commission on October 30, 2006, and supplemented on November 13, 2006. A copy of the Plan, as amended, is attached hereto as Exhibit 10.A.
