Item 8.01 Other Events.
On December 12, 2007, the Board of Directors of National Fuel Gas Company (the “Company”) caused to be delivered to New Mountain Vantage Advisers, L.L.C. (“New Mountain”) a letter in response to earlier correspondence from New Mountain. A copy of the letter is hereby incorporated by reference into this Item 8.01 and filed as part of this Current Report as Exhibit 99.1. The letter to New Mountain references a slide presentation, which is hereby incorporated by reference into this Item 8.01 and filed as part of this Current Report as Exhibit 99.2. Also on December 12, 2007, the Company issued a press release regarding the letter to New Mountain.
