             The Application-Declaration in this proceeding is hereby 

amended as follows:

Item No. 1.  Description of Proposed Transaction

             The following is hereby added to the end of the fifth 

paragraph of Item 1:

             "The price of shares of Additional Common Stock purchased 

from National with reinvested dividends and/or optional cash payments 

will be the average of the daily high and low sales prices of 

National's common stock on the New York Stock Exchange on the 15th day 

of the applicable month.  If the New York Stock Exchange is not open 

for trading on that date, the purchase price of the Additional Common 

Stock will be the average of the daily high and low sales prices for 

such shares on the next succeeding date on which the New York Stock 

Exchange is open for trading."

             The following is hereby added to the end of the sixth 

(last) paragraph of Item 1:

             "The subsidiaries to which these capital contributions may 

be made and the corresponding current maximum borrowing authorization 

of each through December 31, 1995 under the Money Pool Authorization 

are as follows:
