          This is to certify, pursuant to Rule 24 under the Public 
Utility Holding Company Act of 1935, as amended, that the 
transactions referred to below have been carried out in accordance 
with the terms and conditions of and for the purposes represented by 
the Declarations of National Fuel Gas Company ("National") and Enerop 
Corporation ("Enerop"), as amended, in the above file, and pursuant 
to orders of the Securities and Exchange Commission with respect 
thereto, dated May 1, 1986 (35-24081), March 18, 1988 (35-24604), 
April 27, 1989 (35-24874), September 7, 1990 (35-25143) and July 12, 
1991 (35-25346).

          TRANSACTION:  Effective December 29, 1993, Enerop, a New 
York business corporation and wholly owned subsidiary of National, 
changed its name to Leidy Hub, Inc.

          IN WITNESS WHEREOF, National and Leidy Hub, Inc. have
