Item 8.01 Other Events.

On May 23, 2007, the Board of directors of First Mid-Illinois Bancshares, Inc. (“The Company”) approved a three-for-two stock split of its common stock, $4.00 par value, that will be distributed in the form of a 50% stock dividend. Stockholders of record at the close of business on June 18, 2007 will receive on additional share for every two shares of common stock held on that date. The Company intends to distribute the shares on June 29, 2007. Upon completion of the split, the total number of outstanding shares of the Company’s comon stock will increase from approximately 4.2 million shares to approximately 6.4 million shares.
