ITEM 8.01 Other Events.

On January 13, 2005, the Board of Directors of NDCHealth Corporation (“NDCHealth” or the “Company”) issued a press release announcing that an independent committee of the Board had completed its review of candidates and will engage a leading investment banking firm from its final list of candidates to analyze and report to the Board on strategic alternatives for the Company to maximize stockholder value.

A copy of the press release issued by the Company is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
