The RSUs will be settled and the shares subject to the RSUs will be delivered to the reporting person upon his retirement or resignation from the Board, or the cessation of his membership on the Board for any reason. Upon a change in control of Nashua Corporation, the restricted stock units will fully vest and shall be settled.</footnote>
