Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On May 4, 2007, at the Annual Meeting of Stockholders of Nashua Corporation, a Massachusetts corporation, its stockholders approved the 2007 Value Creation Incentive Plan (the “Plan”). The Plan, as recommended by the Leadership and Compensation Committee and approved by the Board of Directors, was attached as Appendix A to the proxy statement filed with the Securities and Exchange Commission on March 27, 2007. A summary of the Plan’s terms was provided in such proxy statement and is incorporated herein by reference.
