Item 5.02.      Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     On August 1, 2006, Nashua Corporation, a Massachusetts corporation (the “Company”), upon the recommendation of the Governance and Nominating Committee, voted to elect Michael T. Leatherman as a new director of the Company, to serve until his successor is elected and qualified. Mr. Leatherman will serve as a member of the Audit/Finance and Investment Committee of the Company’s Board of Directors.
     There are no transactions, or series of similar transactions, or any currently proposed transactions, or series of similar transactions, to which the Company is to be a party, in which the amount involved exceeds $60,000, and in which Mr. Leatherman had, or will have, a direct or indirect material interest since the beginning of the Company’s last fiscal year. There are no familial relationships between Mr. Leatherman and any other director or executive officer of the Company.
