Promotion and Compensation Increase for Named Executive Officer
     Effective August 10, 2005, Bruce A. Cross was promoted to Executive Vice President, Merchandising for Nash-Finch Company. In connection with this promotion, Mr. Cross’ annual base salary was increased to $315,000, and his maximum annual bonus opportunity was increased to 50% of his base salary. No changes were made to other elements of Mr. Cross’ compensation and benefits in connection with this promotion.
