Explanatory Note
Nash Finch Company (the “Company”) is filing this Current Report on Form 8-K/A as Amendment No. 1 to its Current Report on Form 8-K (the “Form 8-K”) filed with the Securities and Exchange Commission (the “Commission”) on May 26, 2009 solely to disclose that the Nash-Finch Company 2009 Incentive Award Plan (the “2009 Plan”) filed as an exhibit to the Form 8-K has been amended and to file such amendment as an exhibit to this Form 8-K/A. No other information contained in the Form 8-K is amended by this Form 8-K/A.
Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously reported in the Form 8-K filed by Company, upon the approval of the 2009 Plan by the Company’s stockholders at the Company’s 2009 annual meeting, the Company adopted the 2009 Plan. On March 2, 2010, the 2009 Plan was amended to: (1) expressly state that the authority to grant awards to the Company’s directors may not be delegated to any officer of Company and (2) provide that, except in case of death, disability, retirement or a change in control, the 2009 Plan administrator’s discretion to accelerate vesting periods for awards is limited to ten percent of shares of the Company’s common stock authorized under the 2009 Plan.
The foregoing description is qualified in its entirety by reference to the 2009 Plan, as amended and restated, copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K/A and is incorporated by reference herein.
