ITEM 5. Other Events.

        Qwest Corporation is a wholly-owned subsidiary of Qwest Communications International Inc. ("QCII"). On February 11, 2003, QCII issued a press release related to its restatement of its 2001 and 2000 financial statements. QCII filed this press release as an exhibit to Form 8-K on February 13, 2003, which is incorporated herein by reference.
