Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 9, 2021, John K. Wilson, a member of the Board of Directors (the “Board”) of MDU Resources Group, Inc. (the “Company”) informed the Chair of the Board of his decision not to stand for reelection to the Board. Mr. Wilson’s term as a director will expire at the Company’s 2021 Annual Stockholder’s Meeting. Mr. Wilson’s decision not to stand for reelection is not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
