On November 1, 2011, Mr. F. H. Merelli retired from his position as a director of Apache Corporation (“Apache”). Mr. Merelli was a member of the Audit Committee and the Executive Committee of Apache’s board of directors. In his letter notifying Apache of his retirement, Mr. Merelli indicated that he did not have any disagreement with Apache or its management on any matter relating to Apache’s operations, policies, or practices.
