Item 5.  Other Events.

     Monthly Operating Report for April 1 through April 30, 2004.

          On May 15, 2003, Mississippi Chemical Corporation and its domestic subsidiaries (collectively, the "Debtors") filed voluntary petitions for relief under Chapter 11 of Title 11 of the United States Code in the United States Bankruptcy Court for the Southern District of Mississippi.  In connection with such filing, the Debtors are required to file monthly operating reports with the United States Trustee and the Bankruptcy Court.  Attached hereto as Exhibit 99 is the monthly operating report for the period from April 1 through April 30, 2004.
