 PART III - NARRATIVE

          State below in reasonable detail the reasons why Form 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof could not be filed within the prescribed period:

          On May 15, 2003 (the "Petition Date"), the Registrant and its direct and indirect United States subsidiaries filed voluntary petitions for relief under Chapter 11 of Title 11 of the United States Code in the United States Bankruptcy Court for the Southern District of Mississippi. The Registrant was not able to timely file its Form 10-K for the period ended June 30, 2003, because the Registrant's management has been devoting substantial time and attention to the bankruptcy cases, including arranging a debtor in possession financing facility, and has not completed impairment testing of its assets to determine whether it is appropriate to record a write down of its assets on its financial statements. As a result of the foregoing, the Registrant has been delayed in preparing the Form 10 K for filing with the Securities and Exchange Commission, but the Registrant expects to file its Form& nbsp;10-K within the period prescribed by Rule 12b-25. Since the Petition Date, the Registrant has filed, and will continue to file, on Form 8-K its monthly operating reports filed with the Bankruptcy Court.

          The following is a synopsis of the significant change in results of operations from the last fiscal year that the Registrant expects will be reflected by the earnings statements to be included in the Registrant's Form 10-K for the year ended June 30, 2003:

          For the year ended June 30, 2003, the Registrant expects to report an operating loss of $35.3 million (excluding any asset impairment charges), compared to an operating loss of $32.0 million (excluding any asset impairment charges) for the year ended June 30, 2002.
