          State below in reasonable detail the reasons why Form 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof could not be filed within the prescribed period.

          On May 15, 2003, the Registrant and its direct and indirect United States subsidiaries filed voluntary petitions for relief under Chapter 11 of Title 11 of the United States Code in the United States Bankruptcy Court for the Southern District of Mississippi. The Registrant was not able to timely file its Form 10-Q for the quarterly period ended March 31, 2003, because the Registrant's management has been devoting substantial time and attention to preparations for the bankruptcy filing, including arranging a debtor-in-possession financing facility of up to $37.5 million, and, as a result, has been delayed in preparing the Form 10-Q for filing with the Securities and Exchange Commission.

PART IV, QUESTION 3

The following is a synopsis of the significant change in results of operations from the corresponding period for the last fiscal year that the Registrant expects will be reflected by the earnings statements to be included in the Registrant's Form 10-Q for the quarter ended March 31, 2003.

For the quarter ended March 31, 2003, the Registrant expects to report an operating loss of $66.2 million, which includes a non-cash charge for $58.5 million, compared to an operating loss of $9.1 million for the quarter ended March 31, 2002. This non-cash charge was related to the Registrant's decision to indefinitely idle its No. 2 ammonia plant located in Donaldsonville, Louisiana. Not taking into account this non-cash charge for the quarter ended March 31, 2003, the operating loss for the quarter ended March 31, 2003, was $7.7 million compared to the $9.1 million operating loss for the quarter ended March 31, 2002.
