(b) On May 9, 2018, 3M Company issued a press release stating that Frank R. Little, Executive Vice President, Safety and Graphics Business Group, had announced that he would retire July 1, 2018.
The Company also announced the appointment of Mojdeh Poul to Executive Vice President, Safety and Graphics Business Group, effective July 1, 2018.

At the 2018 Annual Meeting of Stockholders of the Company held on May 8, 2018, the votes cast with respect to each item of business properly presented at the meeting are as follows:

Regarding the stockholder proposal on special shareholder meetings that is included in the Companys Proxy Statement, the authorized representative of the proponent of this proposal failed to appear at the Annual Meeting to present the proposal. According to the Companys bylaws, no vote was taken on this proposal.
*Under the General Corporation Law of the State of Delaware, the affirmative FOR vote of a majority of those shares present in person or represented by proxy at the meeting and entitled to vote on the matter is required to approve the stockholder proposal. In tabulating the voting result, abstentions and, if applicable, broker non-votes are not counted as votes FOR or AGAINST the proposal. An abstention will, however, be counted as entitled to vote on a proposal and will, therefore, have the effect of a vote AGAINST. Applying this standard, the percentage in favor of the stockholder proposal is calculated by dividing the number of FOR votes by the sum of the number of FOR, AGAINST and ABSTAIN votes.

3M Announces New Leadership Appointment
ST. PAUL, Minn.May 9, 2018 3M announced today that Mojdeh Poul is appointed executive vice president, Safety and Graphics Business Group, effective July 1, 2018. Poul will replace Frank Little, who has announced his intention to retire, effective July 1, 2018.
Mojdeh is a strategic, results-driven leader with a proven track record of success at 3M, said Inge Thulin, 3M chairman of the board, president and chief executive officer. Her experience leading one of 3Ms largest subsidiaries, combined with her deep knowledge of managing global regulated businesses, make her an ideal choice to lead our Safety and Graphics Business Group.
Poul currently is president and general manager, 3M Canada Company. She oversees 3Ms five business groups within Canada including its largest businesses in that country, Industrial and Safety and Graphics along with manufacturing, research and development, and sales and marketing. Poul joined 3M as director of global marketing in 2011 and subsequently held positions of increasing responsibility within the companys Health Care Business Group. Previous to 3M, she held leadership roles at Medtronic and Boston Scientific.
Poul earned her MBA from UNC Kenan-Flagler Business School, and masters and bachelors degrees in engineering from the University of Louisville.
Frank Little announced his intention to retire, effective July 1, 2018. Frank has made significant contributions to 3M throughout his 16-year career, capped by four and a half years as head of the Safety and Graphics Business Group, said Thulin. We thank Frank for his service and wish him well in the future.
