Item 1.01. Entry into a Material Definitive Agreement.

 

On January 4, 2005, Millipore Corporation and its new President and CEO, Dr. Martin D. Madaus, entered into an Executive Termination Agreement and an Officer Severance Agreement, both of which are effective as of Dr. Madaus’ start date, January 1, 2005. These agreements were described in the Company’s Form 8-K of October 25, 2004, in which the appointment of Dr. Madaus was disclosed.
