Item 2.02 Results of Operations and Financial Condition.

     On January 27, 2006, the Registrant issued a press release announcing its anticipated financial results for the quarter and year ended December 31, 2005. The Registrant’s anticipated results take into account the expensing of stock options in both 2005 and, as required, for 2006. A copy of the press release is furnished as Exhibit 99 to this report and is incorporated herein by reference.
