Kennedy Cabot Acquisition, LLC Completes Tender Offer of Siebert Financial Corp.

 

New York, NY and Beverly Hills, CA—December 19, 2016— Kennedy Cabot Acquisition, LLC (“Kennedy Cabot Acquisition”) today announced that the tender offer (the “Offer”) to purchase the shares of common stock of Siebert Financial Corp., a New York corporation (NASDAQ: SIEB) (“Siebert”), par value $0.01 per share (each, a “Share”, and collectively, the “Shares”), that represent all of the issued and outstanding Shares other than the 19,310,000 Shares owned by the Estate of Muriel F. Siebert expired as scheduled on 5:00 PM, Eastern Time on December 13, 2016. Kennedy Cabot Acquisition was advised by American Stock Transfer & Trust Company, the depositary for the Offer, that, at of the expiration time of the Offer, a total of 677,283 Shares were validly tendered into and not withdrawn from the Offer, representing approximately 3.07% of the currently issued and outstanding Shares. All conditions to the Offer having been satisfied, Kennedy Cabot Acquisition accepted for payment and paid for all Shares validly tendered into and not validly withdrawn from the Offer.
