Explanation of Responses:

1. Pursuant to a rights offering (the "Rights Offering"), The Mexico Fund, Inc. (the "Fund") issued to its stockholders as of March 22, 2007 (the "Record Date"), one right for every one share of common stock held. Each right gave the holder the right to purchase one share of common stock for every three rights held at the subscription price of $38.89 (the "Subscription Price"). Rights holders who were shareholders on the Record Date and who fully exercised the rights they obtained in the primary subscription were entitled to an over-subscription privilege under which they may subscribe for additional shares of common stock at the Subscription Price.

2. The Subscription Price was fixed on April 27, 2007.

3. The shares listed under Item 4 of Table I were acquired through the over-subscription privilege in the issuer's one-for-three rights offering. Shares issued to Mr. Claudio X. Gonzalez were acquired on May 31, 2007. Prior to such date, the amount of shares of common stock acquired pursuant to the over-subscription privilege was not determinable by the reporting person.
