Item 8.01.    Other Events.

On October 10, 2008 Met-Pro Corporation (the “Company”) announced  the repurchased of approximately 540,000 shares of its common stock in a private transaction.  A copy of the press release issued by the Company is furnished herewith as Exhibit 99.1.

The information included as Exhibit 99.1 is attached hereto shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended.
