DEPARTURE, ELECTION, OR APPOINTMENT OF DIRECTORS OR OFFICERS. In connection with the nomination for re-election of Wayne B. Lyon to Masco Corporation's Board of Directors, the proxy statement for the 2004 Annual Meeting of Stockholders stated that Mr. Lyon would reach age 72, the Board's normal retirement age, before completing the three-year term that would expire in 2007 and that he intended to serve only until the first Annual Meeting following his attainment of age 72. Accordingly, on March 18, 2005, Mr. Lyon submitted his resignation from the Board of Directors of Masco Corporation, effective immediately before the Annual Meeting of Stockholders on May 10, 2005.
