Item 8.01 Other Events.

On January 12, 2007, we completed the sale of substantially all the businesses of our Professional Services segment in France to a subsidiary of Groupe Circet, a French company. We announced during our third fiscal quarter of 2006 our intention to divest this business and have recorded a loss on this sale of approximately $15.6 million. The amount of this loss is subject to final review.
