     The Organization and Compensation Committee authorized the payment of the annual performance pay awards to each of the company’s executive officers with respect to the year ended December 31, 2004. The awards were made pursuant to The Lubrizol Corporation Performance Pay Plan. The amounts are payable on March 4, 2005.
