Item 7.01.

Regulation FD Disclosure

On October 12, 2010, the Registrant issued the attached news release entitled “Goldrich Reports Production Results”, announcing that the Company completed its first season of commercial gold production at its Little Squaw Creek gold mine in Chandalar, Alaska.

The decision to go into commercial production was the result of a successful test mining operation by the Company in 2009.   The Company produced 1,522 fine ounces of gold and 259 ounces of silver for the 2010 mining season, which ended on September 23rd.   The Company had originally planned a larger operation but lack of sufficient financing at the beginning of the season prevented this.   The Company now has a beginning mine fleet, mine infrastructure compliant with MSHA, stripped sufficient overburden to expose pay gravel and began producing gold at the beginning of next season.

A copy of the press release is attached as Exhibit 99.1 and incorporated herein by reference.

In accordance with General Instruction B.2 of Form 8-K, the information in Item 7.01 of this report, including the exhibits attached hereto which are incorporated herein by reference, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (“the Exchange Act”), nor shall such information be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
