Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 16, 2021, James W. Brown, executive vice president of the registrant, provided notice to the registrant of his retirement, effective as of December 31, 2021, as an officer of the registrant.  In connection with his retirement from the registrant, Mr. Brown has also provided notice to the registrant’s affiliate Kronos Worldwide, Inc. (“Kronos Worldwide”) of his retirement as an officer of that company as of December 31, 2021.

As previously reported by the registrant, Mr. Brown retired as chief financial officer of the registrant and Kronos Worldwide as of June 1, 2021.
