Explanatory Note

4Kids Entertainment, Inc. (the “Company”) is filing this amendment to our Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2010, which was originally filed with the Securities and Exchange Commission (the “SEC”) on November 15, 2010 (the “Original Filing”). This Amendment is filed for the sole purpose of changing the Company’s filing status from a non-accelerated filer to a smaller reporting company beginning with the Company’s third quarter, based on the Company’s calculation of its public float in accordance with Exchange Act Rule 12b-2.

This Amendment does not reflect events occurring after the filing of the Original Filing and no attempt has been made in this Amendment to modify or update other disclosures as presented in the Original Filing.  All other Items of the Original Filing have been omitted from this Amendment.  Accordingly, this Amendment should be read in conjunction with our filings with the SEC subsequent to the filing of the Original Filing.
