(the “Companies”) in response to the comments of the Staff of the Securities and Exchange Commission (the “Staff”) commenting on the above-referenced Form S-4 Registration Statement, the Form 10-K for the period ended December 31, 2004 and the Form 10-Q for the period ended March 31, 2005 (hereafter, the “Documents”), hereby acknowledge that:

•       the Companies are responsible for the adequacy and accuracy of the disclosure in the Documents;
