Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 25, 2012, the Board of Directors accepted the offered resignation of Ray A. Griffith from the Board and his related responsibilities on the Audit Committee, effective September 25, 2012.

The Company’s Corporate Governance Guidelines require a director to offer his or her resignation upon a substantial change of principal occupation. Mr. Griffith recently stepped down as President of Ace Hardware Corporation and announced plans to retire from his role as Chief Executive Officer of Ace on March 31, 2013.
