Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

     As previously disclosed by K-V Pharmaceutical Company (the “Company”) on its Form 12b-25 filed with the Securities and Exchange Commission (the “SEC”) on June 2, 2009, the Company has been unable to file its Annual Report on Form 10-K for the Company’s fiscal year ended March 31, 2009 (the “2009 Annual Report”).

     On June 22, 2009, the Company issued a press release disclosing the receipt of a letter from NYSE Regulation, Inc. on June 16, 2009, informing the Company that it is subject to certain procedures as specified in Section 802.01E of the New York Stock Exchange’s Listed Company Manual as a result of the Company’s failure to timely file the 2009 Annual Report with the SEC.

     The Company is in the process of preparing the 2009 Annual Report but is unable, at this time, to estimate when the 2009 Annual Report will be filed.
