PART III -- NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 11-K, 10-Q, N-SAR,
or the  transition  report or  portion  thereof,  could not be filed  within the
prescribed time period.

Given KIT Manufacturing Company's (the "Company") current financial condition,
the costs and expenses associated with conducting an audit and preparing the
FORM 10K are overly burdensome. Under these circumstances, the Company has
filed an application for withdrawal from listing on the American Stock
Exchange and has filed a FORM 15 certifying that it has less than 300
shareholders of record. The anticipated date of the final order related
to the delisting is expected on or about February 5, 2003.
