State below in reasonable  detail the reasons why Forms 10-K, 11-K, 10-Q, N-SAR,
or the  transition  report or  portion  thereof,  could not be filed  within the
prescribed time period.

   KIT Manufacturing Company (the "Company") is currently in the process of
   finalizing certain financial statement disclosures related to its third
   quarter. The Company, due to extenuating circumstances, cannot complete this
   process within the normal prescribed time for filing the Quarterly Report.
   Based on the current status, the Company expects to file its Quarterly Report
   within 5 calendar days following the prescribed due date.
