     The purpose of this Form 10-Q/A Amendment No. 3 is to amend the previously filed Form 10-Q of The First Years Inc. for the quarter ended September 30, 2002, as amended by Form 10-Q/A Amendment No. 1, filed on November 15, 2002, and by Form 10-Q/A Amendment No. 2, filed on November 19, 2002, to conform the numbering of certain exhibits to the numbering of the exhibits in the Company’s Form 10-K for the year ended December 31, 2001, and to clarify that confidential treatment has been requested for portions of Exhibits 10.1 and 10.3.
