Item 1.02                      Termination of a Material Definitive Agreement.

On April 23, 2008, Berry Plastics Corporation (“the Company”) terminated in accordance with its terms a three-year interest rate swap agreement ($300 million notional amount) entered into with Deutsche Bank on January 22, 2008.  The Company will receive $2.4 million on April 25, 2008, as a result of the termination of the swap agreement.
