PART III - NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.

     In 1999, Unum Corporation merged with and into Provident Companies, Inc.,
which immediately thereafter amended its charter to, among other things, change
its name to UnumProvident Corporation. Unum Corporation was the plan sponsor of
the Unum Employees Plan 401(k) prior to the merger. Subsequent to the merger,
the Trustee of the plan was changed. Also, following the merger, there have been
changes in the personnel inside the Company responsible for the preparation of
the Form 11-K for the Plan and a change in the independent accounting firm.
These changes have delayed the collection, review and analysis of the
information required to be included in the Form 11-K. Consequently, the required
opinion of the independent auditors cannot be filed at this time.
