Item 8.01.              Other Events.

On May 15, 2007, Keane, Inc., a Massachusetts corporation (“Keane”), issued a press release announcing that at a special meeting of shareholders Keane shareholders had voted to adopt the merger agreement pursuant to which Caritor, Inc., a global provider of IT services, would acquire Keane.  The full text of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
