(b)           On September 15, 2006, John H. Fain informed Keane, Inc., a Massachusetts corporation (the “Company”) that he would resign as a member of the Board of Directors effective September 15, 2006. His resignation was not caused by any disagreement with the Company on any matter related to the Company’s operations, policies or practices.
