(b)                                 On November 17, 2005, Stephen D. Steinour resigned as a member of the Board of Directors of  Keane, Inc., a Massachusetts corporation (the “Company”) effective immediately. His  resignation was not caused by any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.  Mr. Steinour tendered his resignation due to his recent promotion to President of Citizens Financial Group, Inc. and the resultant travel demands. Mr. Steinour was previously the Chief Executive Officer of Citizens Bank of Pennsylvania.
