Item 5.    Other Events and Required FD Disclosure.

On October 14, 2003, Keane, Inc., a Massachusetts corporation (“Keane”), issued a press release announcing that it has applied to list its common stock on the New York Stock Exchange, Inc. (“NYSE”).  Keane expects to begin trading on the NYSE on October 30, 2003 under the trading symbol “KEA”.  Keane’s common stock will continue to trade on the American Stock Exchange until that date.

A copy of this press release is attached hereto as Exhibit 99.1.

KEANE TO LIST ON NEW YORK STOCK EXCHANGE

Shares Will Continue to be Traded Under the Symbol “KEA”

BOSTON — October 14, 2003—Keane, Inc. (AMEX: KEA), a leading business and information technology (IT) consulting firm, today announced that it has applied to list its common shares on the New York Stock Exchange (NYSE).  The Company anticipates that trading on the NYSE will begin on Thursday, October 30, 2003, under the trading symbol “KEA.”  Keane’s common stock will continue to trade on the American Stock Exchange (AMEX) until that date.
