     The sixth sentence of the first paragraph on the cover page of the
Prospectus Supplement dated July 23, 1996, relating to the Company's 7.35%
Debentures due August 1, 2026, is hereby revised to provide that the period
during which the registered holders of the Debentures must notify the Trustee of
their election to have such Debentures redeemed shall be no earlier than July 1,
2006 and no later than July 15, 2006. Accordingly, the notice period referred to
under "Description of Debentures -- Redemption by Holders" on page S-10 of the
Prospectus Supplement is hereby revised to read "no earlier than July 1, 2006
and no later than July 15, 2006".
