       The Company issued a press release dated March 22, 2002
announcing that it has agreed to sell its microwave products line
to Meggitt Safety Systems, Inc., a subsidiary of Meggitt PLC of
Great Britain.  The Company's microwave product sales for 2001
were approximately $7.5 million.  Terms are not being disclosed.
