(AIG) has announced that its Registration Statement filed in connection with AIG's pending acquisition of American Bankers Insurance Group, Inc. (American Bankers) has been today declared effective by the Securities and Exchange Commission. A proxy statement/prospectus will be mailed to American Bankers shareholders on Monday, February 2, 1998. The special meeting for holders of American Bankers Preferred Stock will be held on March 4, 1998, and the special meeting for holders of American Bankers Common Stock will be held on March 6, 1998.
