Item 7.01. Regulation FD Disclosure.
On June 7, 2021, International Paper Company issued a press release announcing that it had commenced a tender offer to purchase for cash its outstanding 4.400% Notes due 2047, 4.350% Notes due 2048, 4.80% Notes due 2044 and 5.000% Notes due 2035 (the “Tender Offer”) for an aggregate purchase price of up to $700,000,000. The Tender Offer is being made exclusively pursuant to an Offer to Purchase, dated June 7, 2021, which sets forth the terms and conditions of the Tender Offer.
A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
