Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 3, 2011, Robert J. Grillet, Vice President, Controller, notified International Paper Company (the “Company”) he plans to retire on January 31, 2011 after 32 years of service to the Company.

Terri Herrington, 55, has been appointed Vice President, Controller, effective January 31, 2011. Ms. Herrington joined the Company in November 2007 and served as Vice President, Audit, until May 2009 when she assumed her current role as Vice President, Finance, Consumer Packaging. Prior to joining the Company she was Director of Audit for BP plc in London.
